Terms & Conditions of Business
1. Definitions
a. ‘Seller’ means Northern Roots Furniture.
b. ‘Buyer’ means person or company who places an order or accepts an offer of the Seller to
purchase or supply of any goods.
c. ‘Goods’ means products or services supplied or provided by the Seller.
d. ‘Quote’ means price and specification. This can either be a fixed price Quotation or a variable
price Estimate.
2. Relationship
a. The Buyer engages the Seller to provide the products and services
specified in these terms and conditions and attached specification and quote/estimate.
b. No term shall operate to make Northern Roots Furniture an employee or agent of the Buyer.
c. Neither party shall assign rights or obligations without prior written consent.
3. The Buyer’s Obligations
a. The Buyer is responsible for correct dimensions or drawings provided.
b. The Buyer shall provide safe and full access to site.
c. The Buyer accepts responsibility for unavoidable re-decoration unless damage is negligent.
d. The Buyer must insure stored materials onsite.
e. The Buyer is responsible for permissions and regulatory approvals.
f. The Buyer is responsible for compliance with Building Regulations.
g. The Buyer is responsible for VAT and any other tax due.
h. Clause 3.g survives termination.
4. The Seller’s Obligations
a. Goods and services will be supplied with reasonable care and skill.
b. Reasonable steps will be taken to protect property.
c. Waste will be disposed of legally.
d. Public Liability insurance will be maintained.
e. Negligent damage will be rectified by the Seller.
5. General
a. All quotes are bound by these terms.
b. Workshop visits by arrangement only.
c. Natural material variations are accepted.
d. The Seller may subcontract.
e. Failure to enforce does not waive rights.
f. Designs remain Seller property.
g. Wood movement is natural.
6. Quotes & Prices
a. Quotes detail labour, materials and specification.
b. Third-party items subject to availability.
c. Written communication recommended.
d. Buyer must check order details.
e. Orders may be refused.
f. Payments are non-refundable once processed.
g. Quotes valid 30 days.
h. Design changes may incur additional cost.
i. Errors must be reported immediately.
7. Ordering & Payments
a. Orders are binding once commissioned.
b. Staged Payment Terms:
i. 50% non-refundable deposit payable upon acceptance of the Quotation or Estimate.
ii. 40% payable prior to delivery of goods and or before commencement of works on site.
iii. Remaining 10% payable immediately upon completion of the specified works as listed within the
Quote or Estimate.
c. Buyer agrees to pay invoices within 2 working days where applicable.
d. Interest at 8% above Bank of England base rate applies to late payments.
e. Recovery costs payable if required.
f. Goods remain property of Seller until paid in full.
g. Prices subject to change where permitted under these terms.
8. Services & Timescales
a. Services provided per quote.
b. Timelines are indicative only.
c. Seller not liable for delay losses.
d. Storage costs due to delay borne by Buyer.
9. Cancellations
a. Cancellation within 7 days under Consumer Contracts Regulations less reasonable admin costs.
10. Deliveries, Property & Rights
a. Delivery only after required stage payments are made.
b. Ownership remains with Seller until paid in full.
c. Goods must be checked within 24 hours of delivery.
d. Storage fees may apply where delivery is delayed.
e. Risk transfers upon delivery.
11. Materials & Products
a. Natural variation accepted.
b. Manufacturer warranties apply to relevant products.
12. Limitation of Liability
a. Liability not excluded for death, personal injury or fraud.
b. No liability for indirect or consequential loss.
c. Liability capped at contract value.
13. Termination
a. Agreement continues until completion or lawful termination.
b. Immediate termination permitted for serious breach.
c. Work completed to date must be paid for in full.
14. Disclaimers
a. No liability for indirect economic losses.
15. Indemnity
a. Buyer indemnifies Seller for losses caused by breach.
16. Force Majeure
a. No liability for events beyond reasonable control.
17. Warranty of Contractual Capacity
a. Parties confirm authority to contract.
18. Whole Agreement & Governing Law
a. Entire agreement clause applies.
b. Governed by the law of England and Wales.
19. Privacy Policy
a. Northern Roots Furniture is the data controller.
b. Data stored securely for project records and accounts.
c. Retention period: 5 years.
